Terms of Service

Effective date: October 7, 2026

These Terms of Service ("Terms") govern your use of the Turnstone Deal Screener web app, iOS app and API (the "Service"), operated by Turnstone Innovations, LLC ("Turnstone," "we," "us," or "our"). The app asks you to accept these Terms and our Privacy Policy when you first sign in and again whenever they change. If you do not agree, do not use the Service.

1. Service Description

Turnstone provides an AI-powered deal screening tool for business buyers. The Service analyzes documents you upload (such as CIMs, teasers, and financial statements) and deal details you enter, using artificial intelligence to extract data, score deals, identify potential risks, research industries, and generate deal memos.

2. AI-Generated Output Disclaimer

All analysis, scores, verdicts, red flags, industry research, deal memos, and other output produced by the Service are generated by artificial intelligence and are provided for informational purposes only.

You acknowledge and agree that:

• The Service does not provide investment, financial, legal, or tax advice, or any recommendation to acquire, pass on, or take any other action regarding any business or transaction.
• Verdict labels such as "Proceed," "Further analysis," and "Pass" (and the corresponding values returned by our API) are automated screening signals derived from the information provided. They are not recommendations.
• AI-generated output may contain errors, inaccuracies, omissions, or fabricated details. Scores, extracted financials, red flags, and industry research may be incorrect or incomplete.
• You are solely responsible for independently verifying all information before making any business or investment decision.
• No fiduciary, advisory, or professional relationship is created between you and Turnstone by your use of the Service.
• The Service is a screening tool meant to speed up initial evaluation. It does not replace professional due diligence, legal counsel, financial advisors, or your own judgment.

3. Documents, Confidentiality, and AI Processing

You may upload confidential documents and enter confidential deal details. You represent and warrant that:

• You have the right to upload and process each document you submit, including any rights required under non-disclosure agreements (NDAs) or other confidentiality obligations.
• You are responsible for complying with your confidentiality obligations to brokers, sellers, and other parties.

To provide the Service, we send your documents and deal details to our AI provider, Anthropic (Claude API). Under Anthropic's commercial terms, this content is not used to train AI models and is deleted within 30 days, or kept for up to 2 years if Anthropic's automated systems flag it for a usage-policy violation. To research a deal's industry, the Service also runs web searches built from the target company's name, industry, and location. If your confidentiality obligations do not permit this processing, do not submit that deal to the Service. Our Privacy Policy describes every service provider we use and how long data is kept.

4. Accounts and Eligibility

You must create an account to use the Service. You agree to provide accurate information and keep your sign-in credentials secure, and you are responsible for all activity under your account. The Service is intended for business professionals evaluating acquisition targets. You must be at least 18 years old to use it.

5. Billing, Renewal, and Refunds

• Introductory (free) plan: 7 deal screens over the lifetime of your account (they do not reset monthly).
• Pro plan: $9.99 per month for your first three monthly billing periods, then $24.99 per month, plus $0.50 for each screen that completes successfully. Failed screens are not charged. Prices are in US dollars and exclude any applicable taxes.

Automatic renewal. Pro is a subscription that renews automatically every month until you cancel. By subscribing, you authorize us, through our payment processor Stripe, to charge your payment method each month for the base fee and for that month's completed screens. The move from the introductory rate to the standard rate after three months is part of the price you agree to at checkout and is not a price change.

Cancelling. You can cancel at any time in Settings → Manage Subscription, or by emailing support@turnstone.app. Cancellation takes effect at the end of the current billing period. Pro features remain available until then, after which your account returns to the free plan and your deals stay available.

Refunds. Payments are non-refundable, including for partial billing periods and for per-screen charges, except where a refund is required by law. Deleting your account cancels Pro immediately, without a refund for the rest of the billing period.

Price changes. We will give you at least 30 days' notice by email before any change to Pro pricing takes effect. Changes never apply to a billing period that has already started. If a payment fails, we may suspend Pro features until it is resolved.

6. Shared Deal Links

Pro users can create shareable links to deal screening results, optionally protected by a password. Anyone with the link (and the password, if set) can view the shared analysis without an account. You are solely responsible for who receives your links and for the consequences of sharing deal information, including any breach of your confidentiality obligations. We are not responsible for access to shared links by people you gave them to, or by people who obtained them because you shared a link or password insecurely.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Scrape, crawl, or use automated tools to extract data from the Service beyond normal use of our API.
• Reverse engineer, decompile, or attempt to extract the source code, AI prompts, or scoring algorithms of the Service.
• Use the Service to build a competing product, or resell its output commercially.
• Upload malicious files, attempt to overload the Service, or interfere with other users' access.
• Share your account credentials or let more than one person use a single account.

8. Intellectual Property and Your Data

The Service, including its software, design, scoring frameworks, and AI prompts, is owned by Turnstone and protected by intellectual property laws. Your use of the Service gives you no ownership rights in it.

You keep ownership of everything you upload. Screening results produced for your account (scores, memos, and analysis) are licensed to you for your internal business use. You can export your pipeline as a CSV file on any plan, and Pro users can download deal memos as PDF files.

9. Service Availability

We work to keep the Service reliable but do not guarantee uninterrupted access. The Service may be unavailable because of maintenance, updates, rate limits, or outages at third-party providers (including our AI provider). Screens may fail or take longer than expected. We are not liable for delays, failures, or interruptions of the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Turnstone and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of deals, loss of business opportunities, or damages arising from reliance on AI-generated analysis, whether based on warranty, contract, tort, or any other legal theory.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the total amount you paid to Turnstone in the twelve (12) months before the claim.

You acknowledge that the Service provides AI-generated output that may be inaccurate, and you assume all risk of using that output for business decisions. These limitations apply even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Turnstone from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your reliance on AI-generated output for business or investment decisions; (c) your violation of these Terms; (d) your breach of any confidentiality obligation related to documents or deal details you submit; or (e) your sharing of deal information through shared links.

12. Account Deletion and Termination

You can delete your account at any time in Settings → Delete Account. This cancels any subscription and permanently deletes your account data as described in our Privacy Policy. We may suspend or terminate your account if you violate these Terms, abuse the Service, or if required by law. When your account ends, your access to the Service ends.

13. Changes to These Terms

We may update these Terms. For material changes, we will email the address on your account at least 14 days before they take effect, and the app will ask you to review and accept the updated Terms before you continue using the Service. If you do not agree, you can cancel your subscription and delete your account.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
